By downloading or making any use of the DriveMaster Training Code and any other files accompanying or referencing this license, you agree to and are bound by the DriveMaster Training Code License.

ULINK Technology, Inc. and its affiliates (“ULINK”) hereby grant to you a worldwide, limited, non-exclusive, non-transferable, no-charge, royalty-free, non-sublicensable, revocable license (the “License”) to access and use the DriveMaster Training Code, software, tools, specifications, documents, and any other files accompanying or referencing this License (collectively, the “DriveMaster Training Code”), subject to the following terms, conditions, and restrictions:

Your access to and use of the DriveMaster Training Code constitutes your acceptance of this License and its terms and conditions. If you do not agree to all of the terms contained in this License do not download, install, access, or use the DriveMaster Training Code and uninstall and delete any copies. This License may be modified or updated by ULINK; upon any such modification or update, you will comply with the terms of the updated License for any use of the DriveMaster Training Code.

You will only access and use the DriveMaster Training Code with ULINK’s software product DriveMaster (“DriveMaster”), for you learn how to use DriveMaster (“Purpose”). This License may not be used for any other purpose than the Purpose specified in the foregoing. No other exercise of the License granted herein is permitted, and in no event may the DriveMaster Training Code be used for competitive analysis or to develop a competing product or service. Neither this License nor any exercise of the License granted herein modifies the DriveMaster software license in any way.

You may not redistribute the DriveMaster Training Code.

You acknowledge and agree that if the DriveMaster Training Code includes or is accompanied by any “third-party notices,” terms or similar file, the software identified in that file is governed by those separate license terms identified in such files.

Your use of the DriveMaster Training Code must at all times be in compliance with all applicable laws (including patent, trademark, copyright, and any other proprietary or intellectual property right).

If you provide any comments, suggestions, ideas, improvements, or feedback about the DriveMaster Training Code (collectively, “Feedback”), ULINK (and those ULINK allows) may use such Feedback for any purpose, without restriction or obligation to you.

YOU ARE AND WILL REMAIN SOLELY RESPONSIBLE FOR YOUR USE OF THE DRIVEMASTER TRAINING CODE.

ULINK owns and will keep all right, title, and interest to its property and all intellectual property rights (i.e., patent, trademark and copyright) contained therein, including the DriveMaster Training Code and derivative works of the DriveMaster Training Code. You agree to waive or refrain from asserting any author’s right, moral rights, or like rights to the DriveMaster Training Code and any other ULINK property contained therein. The DriveMaster Training Code is licensed, not sold.

ULINK IS PROVIDING THE DRIVEMASTER TRAINING CODE “AS-IS” AND THE USE OF IT IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ULINK DISCLAIMS ALL WARRANTIES OF ANY KIND (E.G., EXPRESS, IMPLIED, STATUTORY) INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, OR WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE. ULINK DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES THAT THE DRIVEMASTER TRAINING CODE OR THE USE OF THE DRIVEMASTER TRAINING CODE WILL BE UNINTERRUPTED, CONTINUE TO EXIST, RELIABLE, ACCURATE, MEET YOUR REQUIREMENTS, TIMELY, SECURE, OR ERROR FREE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ULINK IS NOT RESPONSIBLE NOR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, DATA OR PROFIT, OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE DRIVEMASTER TRAINING CODE OR YOUR USE OF THE DRIVEMASTER TRAINING CODE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

Unless otherwise approved in writing by ULINK or as permitted by ULINK under this License, you may not use or combine the DriveMaster Training Code with software offered under an open source license in such a way that would cause the DriveMaster Training Code to be subject to any obligations under such open source license.

ULINK may provide you with upgrades, updates, or modifications for the DriveMaster Training Code in ULINK’s sole discretion. You understand and agree that all such upgrades, updates, or modifications will form a part of the DriveMaster Training Code.

You will not use the name, logo(s), or other identifying information or image of ULINK Inc. or the name(s), logo(s), or other identifying information or image (s) of other contributors (including any affiliates of ULINK), including to endorse or promote products or services derived from the DriveMaster Training Code, without prior specific written permission.

You will not disassemble, decompile, reverse engineer, or use any other means to derive any source code or other protected works in the DriveMaster Training Code (except to the extent applicable laws specifically prohibit such restrictions) including any ideas, algorithms, structure, or organization therein contained.

You will not remove or alter any of the proprietary or copyright notices contained in the DriveMaster Training Code or any component thereof.

You will not use the DriveMaster Training Code for the purpose of identifying or providing evidence to support any potential patent infringement claim against ULINK or any affiliates of ULINK.

ULINK reserves the right at any time and from time to time to terminate, suspend, revoke, modify, or discontinue, temporarily or permanently, your access to and/or use of the DriveMaster Training Code (or any part thereof) with or without notice. ULINK will not be liable to you or to any third-party for any modification, suspension, or discontinuance of the DriveMaster Training Code.

Any failure by you to comply with the terms and conditions of this License (including any breach by you of this License) or your commencement of any form of patent litigation, including a cross-claim or counterclaim, against anyone wherein you allege that the DriveMaster Training Code constitutes direct or secondary/indirect patent infringement automatically terminates this License with immediate effect and without notice to you.

This License does not establish any agency, partnership, or joint venture between you and ULINK. The failure of ULINK to exercise or enforce any right or provision of this License will not constitute a waiver of such right or provision. If any provision of these terms is held to be contrary to law or not enforceable, such provision will be deemed deleted and the rest of this License will remain in effect.

This License and any action related to it will be governed by the laws of the State of California, without giving effect to any conflicts-of-laws principles. Any disputes related to or arising from this license must be brought exclusively in the United States District Court for the Central District of California, but if that court would lack original jurisdiction over the litigation, then the Superior Court of California, County of Los Angeles, will be the exclusive forum to resolve the litigation.

This License sets forth the entire understanding and agreement of the parties and supersedes all other agreements between the parties with respect to the subject matter hereof.
